Terms of Service

Draft — reviewed by the founder, not yet by a lawyer. This is an honest, plain-English first pass, written so that a real contractor can read the whole thing and know what they're agreeing to. It has not been reviewed by an attorney. It will be replaced by a lawyer-reviewed version before Chival takes payment at any scale beyond an early design partner. Nothing on this page implies legal review that hasn't happened.

These Terms of Service ("Terms") govern use of Chival, a quoting system for commercial mechanical service contractors, operated as a pre-revenue, single-founder product at chival.ai. By creating an account or using Chival, you agree to these Terms. If you're evaluating Chival as a design partner, the separate pilot agreement (see docs/gtm/assets/pilot-agreement-outline.md, also not yet lawyer-reviewed) governs the pilot itself where its terms differ from this page.

1. What Chival is, honestly

Chival is early-stage software. It is not warranted to be free of defects, and it should not be relied on as the sole source of truth for pricing, equipment identification, or anything with legal or safety consequences. A human — your service manager or estimator — must review and approve every quote before it reaches a customer; Chival is built so that no quote can leave the system without that approval. You remain responsible for the accuracy of anything you approve and send.

2. Accounts and organizations

Your account belongs to an organization. Every piece of data in Chival — quotes, price books, equipment records, photos — is scoped to your organization and is not visible to any other organization. You're responsible for keeping your login credentials confidential and for the actions taken under your account. Roles within your organization (owner, admin, manager, estimator, tech, viewer) control what a given user can see and do, including that field technicians cannot see cost or margin data — this is enforced by the server, not by a setting you can turn off.

3. Your data belongs to you

Your price book, labor rates, equipment catalog, customer information, quotes, and photos are your data. Chival does not sell it, does not share it with other customers, and does not use your pricing or margin data to build features that expose your numbers to anyone else. 4. Seed and placeholder data

Until you load your own price book, any pricing shown in your workspace may be seed/illustrative data, flagged as such in the product and on any generated proposal. It is not real market pricing and should never be sent to a customer as though it were.

5. Nothing sends without a human

No quote, email, or message leaves Chival on its own. A quote moves from draft to a human review step, and a human — someone with approval permission in your organization — must explicitly approve it. Sending a proposal to a customer is also a deliberate, human-initiated action. The one narrow exception is a future, strictly opt-in "autopilot" capability that a shop can enable per equipment/job bucket after building a review history — it is disclosed, reversible, and off by default.

6. Payment (Stripe, when enabled)

Where billing is live, payments are processed by Stripe. Chival does not store your full card number. Subscriptions, if any, are described on the pricing page, which is the authoritative, current source for plan pricing — not this document.

7. Acceptable use

Don't use Chival to store or process data you don't have the right to hold, don't attempt to access another organization's data, and don't use the service to build a competing product by scraping or automating access outside the documented API.

8. Termination

You can stop using Chival and request deletion of your organization's data at any time. We may suspend an account for abuse, non-payment (once billing is live), or a violation of these Terms, and will tell you why. On termination, your data is handled per the Privacy Policy's retention and deletion section.

9. Disclaimers and limitation of liability

Chival is provided "as is," without warranties of any kind, including merchantability or fitness for a particular purpose. This is pre-release software from a solo founder, not an enterprise vendor with an uptime SLA. To the extent permitted by law, liability for any claim relating to Chival is limited to the amount you paid for the service in the 12 months before the claim (which, for a free design partner, is zero). Nothing here is intended to disclaim liability Chival can't legally disclaim.

10. Changes to these Terms

If these Terms change in a way that matters, we'll say so — email to the account contact and a visible note on this page — rather than silently updating the date at the top.
